The Board of Directors of the Joint-Stock Company (Societe Anonyme) under the name "KIRIACOULIS MEDITERRANEAN CRUISES SHIPPING S.A.", based in Alimos-Attica, General Commercial Registry (GCR) No. 123800107000, according to Article 101(2) Law 4548/2018, notifies the shareholders of the Company that, at the meeting dated 22.08.2019, taking into account the report dated 19.08.2019, prepared by Mr. Athanasios Roilos, Certified Public Accountant-Auditor (Institute of  Certified Public Accountants of Greece Reg. No. 18921), associate of the auditing firm "BDO Certified Public Accountants S.A.", unanimously decided to grant permission, under Articles 100 and 101 of Law 4548/18, for drawing up a loan agreement for the purpose of obtaining an interest-bearing loan for the purchase of vessels from the company shareholder and affiliated party, Mrs. Areti Kiriacouli, amounting to EUR 1,000,000, with a 5-year term, a nominal interest rate of 3.00% (fixed), a 12-month calculation period and repayment of the capital in one instalment at the expiry date of the last calculation period, with no requirement for collateral or other guaranty. It is noted that, the lender, Mrs. Areti Kiriacouli, is associated to the company in her capacity of major shareholder by a 24.71% shareholding and also as first degree relative of the President of the Board of Directors and Chief Executive Officer, Mr. Theofanis Kiriacoulis and the Vice President of the Board of Directors, Mr. Spyridon Kiriacoulis.
According to Article 100 (3) Law 4548/18, within ten days of the publication of this notification, shareholders representing 1/20 of the share capital may request a General Meeting to be called in order to decide on the issue of granting that permission.
