ELTECH ANEMOS SA announces that on 19.07.2019 the decision of the Ministry of Development and Investments, approving the merger through absorption of ELTECH ANEMOS SA by ELLAKTOR SA in accordance with the applicable provisions of articles 68 et seq. of Codified Law 2190/1920 and articles 1-5 of Law 2166/1993, as in force, was registered in the General Commercial Registry under the registration number 1797304/19.07.2019.

In light of the above, the company ELTECH ANEMOS AS (with General Commercial Registry number 002567001000) is delisted from the General Commercial Registry.

Therefore, the last day of trading of ELTECH ANEMOS SA shares is 19.07.2019, and the trading of ELTECH ANEMOS SA shares on Athens Exchange ceases as of 22.07.2019.

Beneficiaries of the new shares issued due to the merger are the shareholders who will be registered in the Dematerialised Securities System (“DSS”) on 23.07.2019 (record date) for the listed company ELTECH ANEMOS SA.

It is noted that the exchange ratio for the shareholders of the merging companies is as follows: each shareholder of ELTECH ANEMOS SA will exchange every 1 share he/she owns with 1.27 new, common, registered, voting shares of ELLAKTOR SA of nominal value 1.03 Euro each.
