Notification of substantial holdings L. 3556/2007

OPAP S.A. (the “Company”, “Issuer”), pursuant to the provisions of L.3556/2007 and following disclosure received by Valea Foundation on 16.07.2019 as a result of acquisition of voting rights in an entity indirectly controlling voting rights in the Company, announces the following:

On Thursday, 11 July 2019, the transaction for the transfer of 25% of voting rights in SAZKA Group a.s. by Emma Gamma Limited to KKCG AG was completed. Following this, KKCG AG does not exercise joint control, together with Emma Gamma Limited (ultimately controlled by Mr. Jiří Šmejc), of SAZKA Group a.s. KKCG AG took sole control of SAZKA Group a.s.

More specifically, VALEA FOUNDATION has no shareholders and is not controlled by any person. The sole beneficiary of VALEA FOUNDATION is Mr. Karel Komarek. VALEA FOUNDATION is the sole shareholder of Valea Holding AG. Valea Holding AG is the sole shareholder of KKCG Holding AG. KKCG Holding AG is the sole shareholder of KKCG AG. KKCG AG directly holds 100% of voting rights in SAZKA Group a.s. SAZKA Group a.s. holds 66.7% of the shares and voting rights in Emma Delta Management Ltd, whereas the rest 33.3% is controlled by Mr. Georgios Melissanidis through the entity Georgiella Holdings Co. Limited. Emma Delta Management Ltd is jointly controlled by its ultimate beneficiaries, VALEA FOUNDATION (66.7%) and Mr. Georgios Melissanidis (33.3%). Emma Delta Management Ltd is the only entity having voting rights in Emma Delta Variable Capital Investment Company Ltd, which is the sole shareholder of Emma Delta Hellenic Holdings Ltd. Emma Delta Hellenic Holdings Ltd. holds 33% of the shares and voting rights in the Issuer.
