UNIBIOS HOLDINGS S.A.

The Company under the name "UNIBIOS HOLDINGS SOCIETE ANONYME" and the distinctive title "UNIBIOS" (hereinafter referred to as "the Company"), announces that on March 24, 2023, the introduction to trading on the Athens Exchange of 1,562,731 new ordinary, registered shares of the Company, resulting from the recent increase of its share capital with the payment of a total amount of EUR 468,819.30. This amount  corresponds to the nominal value of the new shares by the amount of EUR 453,191.99 (i.e. EUR 1,562,731 x EUR 0.29 as share capital) and to a share premium of EUR 15,627.31.

 This increase is due to the exercise of the stock options by five (5) executives of the Company and its affiliated companies at a share subscription price of EUR 0.30, in accordance with the decision of the Extraordinary General Meeting of shareholders dated 11.11.2019 and the relevant decisions of the Board of Directors of the Company dated 16.03.2020 and 19.01.2021.

 On 26.01.2023 and 20.02.2023, the following were registered in the General Commercial Registry (GEMI) with Registration Code Numbers (CIS) 3426454, &3469977, through the Directorate of Companies of the Ministry of Development and Investments, which is  the competent Supervisory Authority:

(a) the increase of the Company's share capital by the amount of EUR 468,819.30 through the payment of cash and the issuance of 1,562,731 new ordinary, registered shares with a nominal value of EUR 0.29 and a subscription price of EUR 0.30 each and

(b) certification of the payment of the above increase in capital by the total amount of  EUR 468,819.30, i.e. EUR 453,191.99 as share capital, as well as the share premium  of EUR 15,627.31.

It is noted that, following the above increase, the share capital of the Company now amounts to EUR 4,985,113.34, divided into 17,190,046 ordinary, registered shares of nominal value EUR 0.29 each.

The Corporate Actions Committee of the Athens Stock Exchange at its meeting of March 21, 2023 approved the admission to trading of the above 1,562,731 new ordinary, registered shares of the Company.

The Company's decision stipulates that the above new shares will start trading on the Athens Exchange on March 24, 2023. From the same date, the starting price of the Company's shares on the Athens Stock Exchange will be modified in accordance with the Regulation of the ATHEX in conjunction with No. 26 decision of the Board of Directors of the ATHEX, as in force, and the new shares will have been credited to the shares and securities accounts of the beneficial shareholders in the Dematerialized Securities System (DSS).

 In accordance with Article 1, para. 5 (h) of Regulation (EU) 1129/2017 for the admission of the above new shares, there is no obligation to publish a prospectus in accordance with article 3, para. 3, of the Regulation, as the securities listed have been offered, by the employer or by an affiliated company, to current or former members of the board of directors or employees.
