Notification of significant changes in voting rights

ELLAKTOR S.A. (the “Company”) informs (art. 9 of L. 3556/2007), in compliance with the Directive for transparency, about the notification of significant changes in voting rights of the Company, received on July 23^rd, 2021,  by a shareholder.

REGGEBORGH INVEST B.V. informs that did not exercise its call option for the purchase of 6,828,260 common shares of “ELLAKTOR S.A.” (3.1867% of the share capital and the voting rights of the issuer), which expired on Tuesday 20 July 2021. After that, REGGEBORGH INVEST B.V. participates in the share capital and voting rights of ELLAKTOR as follows:

Date of  the expiration of the call option : July 20^th, 2021

Number of shares and number of voting rights of previous notification:

a. direct participation: 27.34% (i.e. 58,580,956  common registered shares with voting rights) and

b. indirect participation: 0% (i.e. 0 common registered shares with voting rights) and

Total participation (directly and indirectly) and voting rights: 27.34% (i.e. 58,580,956 common registered shares with voting rights) issued by ELLAKTOR SA.

The number of shares and number of voting rights (total positions), as a result of a potential  exercise of the Call Option (with the exercise period between April 20^th and July 20^th, 2021) 6,828,260 shares and equal voting rights, i.e. 3.187%, issued by ELLAKTOR SA:

Direct participation: 30.526% (i.e. 65,409,216 common registered shares with voting rights),

Indirect participation: 0% (i.e. 0 common registered shares with voting rights) and

Total participation (directly and indirectly) and voting rights: 30.526% (i.e. 65,409,216 common registered shares with voting rights) issued by ELLAKTOR SA.

Number of shares and number of voting rights after the 20.07.2021:

a. direct participation: 27.9692% (i.e. 59,930,339  common registered shares with voting rights) and

b. indirect participation: 0% (i.e. 0 common registered shares with voting rights) and

Total participation (directly and indirectly) and voting rights: 27.9692% (i.e. 59,930,339  common registered shares with voting rights) issued by ELLAKTOR SA.

Additional information

REGGEBORGH INVEST B.V. did not exercise its call option for the purchase of 6,828,260 common shares of “ELLAKTOR S.A.” (3.1867% of the share capital and the voting rights of the issuer), which expired on Tuesday 20 July 2021.

REGGEBORGH INVEST B.V. purchased (via on exchange) of 1,349,383 shares and voting rights (0.6297% of the share capital /voting rights of the issuer) on 13.07.2021. Its percentage in share capital /voting rights of the issuer remains over 25% (27.9692%).

REGGEBORGH INVEST B.V. is not controlled by any natural person or legal entity in the sense of Art.3 of L.3556/2007 and does not control any other undertaking(s) holding directly or indirectly an interest in ELLAKTOR SA.
