Mytilineos Group S.A. along with its main shareholder Mr. Evangelos Mytilineos announce that they signed on 12.6.2006, mutually with the main shareholders of DELTA PROJECT S.A., messrs Κatsaros Konstantinos, Κatsarou Maria, Deligiorgis Anastasiou, Deligiorgi Efstathia, and Papageorgiou Evangelos, a final share transfer contract of DELTA PROJECT S.A. Mytilineos Group S.A. acquired a 44.624% and Evangelos Mytilineos an 8% of the share capital of DELTA PROJECT S.A. that is, 6,578,000 common nominal shares - from the above main shareholders. The total price of the transaction reached Euro 16,116,100 - that is, Euro 2.45 per share. Further to the above transaction, Mytilineos Group S.A. shall proceed to an obligatory public offer towards the minority shareholders of DELTA PROJECT S.A., according to the current regulations. Τhe parts also agreed to offer the sellers a put option right, of an additional 17.35% of the company's share capital (2,168,622 shares), which they possess today, valued at Euro 8 per share. The put option right can be exerted from 20.8.2006 up to 31.10.2006.
