Further to our previous announcements as to DELTA HOLDING agreeing to acquire 21% of the share capital of MEVGAL S.A. and relevant announcement of the Board of Directors of MEVGAL S.A., we note the following:The articles of incorporation of MEVGAL S.A. include unusual restrictions on the transfer of the shares of the company. These restrictions cannot prevent the above mentioned transfer of shares, however because of these restrictions, the timing for the completion of the transaction may not be precisely determined. DELTA HOLDING has sufficiently safeguarded all of its rights under this agreement, the time of completion does not influence the financial terms of the transaction, while DELTA HOLDING is already entitled to exercise the voting rights on 21% of the shares of MEVGAL S.A.
