COSMOTE announces that it has received unconditional approvals from the Bulgarian and Former Yugoslavian Republic of Macedonia competition authorities, to proceed to the acquisition of control of Germanos S.A. regarding its subsidiaries in the respective countries, namely Germanos Telecom Bulgaria A.D. and Germanos Telecom Skopje S.A. Following these approvals, the acquisition of control of Germanos S.A. by COSMOTE is still subject to approval by the Greek, Romanian and Ukrainian competent authorities. Subject to these approvals, COSMOTE will proceed to the acquisition of 42% in Germanos S.A. at 19 Euro per share. Following this, and in accordance with Greek laws and regulations, COSMOTE will proceed to a public tender offer to acquire the remaining outstanding shares of Germanos S.A., as announced by COSMOTE on 9 May 2006.
