ALAPIS SA ("ALAPIS") announces the acquisition of a 99.73% stake in Farmalex SA ("Farmalex") for a total consideration of EUR14.36 million. Since 1957 and until the recent past, Farmalex was active in the production and distribution of pharmaceutical products on behalf of multinational companies. While Farmalex has not been in active business for the last few years, it owns production facilities in the area of Pallini, Attiki which consists of the required production equipment and machinery and a building with a total surface of 7,500 sqm, situated on a landplot totalling 13,900 sqm. ALAPIS will proceed with the modernisation and expansion of these production facilities which will include among other, the development of a Research and Development laboratory aimed at the production of pharmaceutical products, and the production of generic pharmaceutical products. This will create one of the largest vertically-integrated units in Southeastern Europe. At the same time ALAPIS intends to proceed with the merger by absorption of Farmalex, in accordance with Laws 2190/1920 and 2166/1993.
