“HELLENIC PETROLEUM S.A.”, announces that the merger, through absorption of 100%, of subsidiary company “PETROLA S.A.” has been completed.

 On 04.07.2011, the transaction was approved by the Ministry of Development, Competitiveness and Shipping (decision Κ2-5565/04.07.2011) and was duly registered with the Registry of Societes Anonymes. The merger was completed, in accordance with the provisions of articles 68 paragraph 2, and 69-78 of Companies Law 2190/1920 and Law 2190/1920.

 According to all applicable laws and regulations, a General Assembly of the merging companies was not required and no change in the issued share capital of the “HELLENIC PETROLEUM S.A.”, or issuance of new shares took place.
