Announcement regarding trading of shares deriving from a share capital increase following the conversion of bond notes into shares.

 

Attica Bank S.A. announces that on 1/10/2013 commences the trading in the Athens Exchange (ATHEX) of the 333,333,333 new common, registered, bearing voting rights shares that resulted from the Bank's share capital increase by 99,999,999.90 euros, due to the conversion of 333,333,333 notes of the Bank's convertible bond loan issued on 2/7/2013, of a total amount of 199,406,822.10 euros into 333,333,333 shares (conversion rate: one bond to one new common, registered bearing voting right share of nominal value 0.30 euros- conversion price), according to the decision of the First Repeat Extraordinary General Meeting of Shareholders of 18/2/2013, the Prospectus approved by the Hellenic Capital Market Commission on 3/6/2013, and the decision of the Bank's Board of Directors of 30/8/2013.

 

The abovementioned increase, which does not constitute an amendment of the company's Articles of Association (Law 2190/1920, art. 3a, par. 5), was certified by the Board of Directors on 3/9/2013 and has been registered at the General Electronic Commercial Registry (G.E.MI.) of the Hellenic Ministry of Development and Competitiveness.

 

The Athens Exchange (ATHEX) approved on 26/9/2013 the admission to trading of the abovementioned 333,333,333 new common, registered bearing voting right shares.

 

The new shares will be credited to the securities accounts of the beneficiary shareholders at the Dematerialized Securities System (DSS) on the date of the commencement of trading.

 

The commencement price for the trading of the Bank's shares on ATHEX on 1/10/2013 shall be determined in accordance with the ATHEX Rulebook and the ATHEX Board of Directors decision No. 26.
