The Ordinary General Meeting of Shareholders held on May 11th, 2007, approved the annual financial statements of fiscal year 2006 and, inter alia, resolved on the distribution of Euro 0.28 net dividend per share. Holders of Proton Bank shares at the closing of the trading session of May 14th, 2007 -as per the records of the Central Securities Depository System-, shall be entitled to dividend. Consequently, starting May 15th which is the ex-dividend date the shares will trade in the Athens Exchange without the right to dividend. Dividend payment will take place on May 24th 2007, from PROTON BANK S.A. in accordance with the procedures specified by the Athens Exchange Regulation and the Central Securities Depository System, i.e. in any of the following ways:
1. For shareholders who have agreed to the terms and conditions of the agreement of distribution of revenue between the said Bank and the Operators of the Greek Dematerialized Securities System (DSS/SAT), payment will take place through the Operators in accordance with the new distribution procedure as provided for in articles 329 of the ATHEX Regulation and 39 of the CSD Regulation
2. For shareholders who have requested an exception from their DSS/SAT Operator, payment will take place through the branch network of PROTON BANK S.A.
3. For shareholders unable to be credited by their DSS/SAT Operators, for various reasons, dividend may be collected through the branch network of PROTON BANK S.A. starting June 1th, 2007.
For cases 2 and 3, dividend collection may take place until May 26th 2007 also requiring disclosure of the DSS/SAT Securities Account Number of the Investor and proof of official identification, or through a legally authorized representative, After the date above (26/5/2008), dividend collection may only take place from the registered offices of Proton Bank.
