As of July 7, 2025, the shares of the company “EL. D. MOUZAKIS S.A.”  (GRS054003009) are traded on the ATHEX without the right to participate in the issue of a Convertible Bond Loan, realized in favor of the old shareholders of the company, by issuing up to 6,714,286 bonds, convertible to new (CR) shares, in terms of 1 bond for every 4.79396468961852 old (CR) shares, at at an issue price of €0.70 per bond and a conversion price of €0.736842105263158 per bond. Every 10 bonds are convertible to 9,5 new (CR) shares. The rights’ trading period is set from July 10, 2025 to July 18, 2025, included. The rights’ subscription period is set from July 10, 2025 to July 23, 2025, included.

It is clarified, according to article 2.6.3. of the ATHEX Rulebook and to decisions No 22 & 26 of the ATHEX BoD, as in force, that the fluctuation price limits of the share price only for the trading session on July 7, 2025, are set as follows: +10% at the theoretical adjusted share price resulting from the issue:  €0.6600 and -10% at the closing share price of the ATHEX last trading session (04/07/2025):  €0,6450.

For convenience, below is given the type of calculation of the adjusted price of the share, which results from Decision 26 of the ATHEX Board of Directors, for each Share Capital Increase with cash payment in favour of the old shareholders of the company:

Theoretical adjusted start share price: €0.6600

Closing share price of the ATHEX last trading session (04/07/2025): €0.6450

Maximum Trading limit +10% : €0.7250 

Minimum Trading limit  -10% : €0.5850

According to the above, and taking into consideration that in the system ΟΑΣΗΣ (the Advanced Electronic & Automated System for Securities Trading of ATHEX) the start share price - in this case - is the closing share price, the maximum and minimum trading limits are formed as follows:

Ceiling  +12,40% :     €0.7250

Floor           -10%:         €0.5850
