Fulfillment of Conditions Precedent for the Acquisition of 65% of the Paris Stock Exchange-Listed Company OSMOSUN by Unibios Holdings

Following Unibios¶ announcement dated 23.05.2025 describing the agreement for the acquisition of a majority stake of 65% in the Paris Stock Exchange-listed company Osmosun SA, Unibios Holdings SA announces the following developments:

The transaction was subject to the following conditions:

(1)  The approval by Osmosun¶ s shareholders at the General Meeting of 30.06.2025 and

(2)  The approval by the French Capital Markets Authority (Autorité des Marchés Financiers - AMF), for the exemption of Unibios from the obligation to submit a public offer for the acquisition of the remaining Osmosun shares.

At the OSMOSUN shareholders' meeting on 30.06.2025, the shareholders present, representing 3,829,134 shares out of a total of 5,613,582 (68.21%) unanimously approved the completion of the transaction with Unibios Holdings.

On Friday 04.07.25, the French Securities Market Commission (AMF) approved the exemption of Unibios Holdings from the obligation to submit a public offer for the acquisition of the remaining shares of Osmosun.

Following these developments, the transaction between the two companies can be implemented as agreed so that Unibios Holdings Group acquires a majority stake of 65% in Osmosun SA.
