General meeting resolutions
EMPORIKI BANK S.A. announced today that the Extraordinary General Meeting of its Shareholders, which convened on 16 August 2005 took the following resolutions:
1. Approved the proposal of the minority shareholder "Public Securities Corporation S.A." (DEKA) on the termination-rescission of the agreements concluded between the Bank and the Employees' Union of Emporiki Bank with respect to the pension fund T.E.A.P.E.T.E. and granted the relevant authorizations to the Board of Directors of the company.
2. Approved the proposal of the minority shareholder "Public Securities Corporation S.A." (DEKA) on the inclusion of T.E.A.P.E.T.E. under the provisions of Law 3371/2005 and granted the relevant authorizations to the Board of Directors of the company.
Items 4 and 5 of the Daily Agenda were not discussed by the company due to the lack of the necessary quorum required by the law and the Articles of Association of the company. Consequently, the said items will be discussed in the Recurring Shareholders' General Meeting of the company that will take place on 5 September 2005 at 14:00 hours (local time) in the registered offices of the bank, General Meetings Room, 11, Sofocleous Str.-Athens, Greece, following the relevant BoD decision of 16 August 2005.
