According to article 281 of the Regulation of the Athens Stock Exchange and article 2 par. 2, subparagraph e of the Decision 3/347/12.07.2005 of the Hellenic Capital Market Committee, we announce the changes in the composition of the Board of Directors of the Company.
The Board of Directors during its session of May 15, 2007 decided the following: Accepted the resignations of the Members of the Board of Directors Messrs Ioannis Pechlivanidis and Anthimos Thomopoulos dated 15.05.2007. Pursuant to articles 11 & 18 of the Company''s Articles of Association and in compliance with the statutory required number of nine members of the Board, Messrs Ulrich Glaunach, Lafarge Group Executive VP & Co-President Cement Division and Jean-Jacques Gauthier Lafarge Group Executive Vice President Finance, are elected to replace Messrs Ioannis Pechlivanidis and Anthimos Thomopoulos for the rest of the term of office of the resigned members, i.e. until the Ordinary Shareholders Meeting of the year 2009. The ratification of this election will be held during the first forthcoming Shareholders Meeting. Further, according to law 3016/2002 as amended by law 3091/2002, Messrs Ulrich Glaunach and Jean-Jacques Gauthier were appointed non executive members of the Board of Directors, since they both fulfill the requirements of articles 3 & 4 of law 3016/2002 as amended and currently in force. According to article 13 of the Company''s Articles of Association and following the resignation of Mr. I. Pehlivanidis from the position of Vice-Chairman, after a relevant suggestion, Mr. Eric Meuriot is elected as Vice-Chairman of the Board.
