NOTICE OF DIVIDEND DETACHMENT / DIVIDEND PAYMENT

The Company under the name “EUROCONSULTANTS SOCIÉTÉ ANONYME OF DEVELOPMENT AND TECHNOLOGY CONSULTANTS”, trading as “EUROCONSULTANTS S.A.”, hereby announces that the Annual 1st Repetitive Ordinary General Meeting of its Shareholders, held today, Tuesday, 24 June 2025, at 12:00 p.m. at the Company’s headquarters in Pylaia, Thessaloniki (21 Antoni Tritsi Street), in accordance with the invitation of the Board of Directors dated 20 May 2025 and the resolution of the Ordinary General Meeting dated 12 June 2025 to convene the 1st Repetitive General Meeting due to lack of quorum at the initial meeting, unanimously resolved on the distribution of profits for the financial year 2024 (following the offsetting of accumulated losses from previous years, pursuant to Article 159 of Law 4548/2018) and decided to distribute a total dividend amount of six hundred thirteen thousand three hundred thirty-nine euros and twenty cents (€613,339.20), i.e. €0.04 per share, after the coverage of past losses, in accordance with Article 159 of Law 4548/2018.

This amount corresponds to the total 15,333,480 common registered voting shares of the Company currently listed on the Athens Stock Exchange.

The key dates determined are as follows:

  • Ex-dividend date: Monday, 7 July 2025
  • Record date: Tuesday, 8 July 2025
  • Dividend payment start date: Friday, 11 July 2025

Subject to the applicable dividend withholding tax rate of 5%, in accordance with current legislation, the net payable amount per share is €0.038.

The payment of the dividend will be carried out through Optima Bank, which has been appointed as the Paying Bank, as follows:

  1. Through the Participants of the beneficiaries in the DSS (Dematerialized Securities System) (i.e., Banks and Brokerage Firms), in accordance with the rules of operation of the Hellenic Central Securities Depository (EL.K.A.T.).
  2. Regarding cases of dividend payment to heirs of deceased beneficiaries, whose securities are kept in the Special Account of their Share in the DSS, managed by ATHEXCSD, the dividend payment procedure will take place after the heirs’ legal documentation process is completed, through the branch network of the Paying Bank.

Dividend collection will be possible for a period of five years, in accordance with applicable provisions, after which the relevant amounts will be written off and definitively transferred to the Greek State.
