Under the private share trade agreement dated 12/1/2006 with Mr. Psariov Georgy Yuriyovych and Ischenko Oleksandr Anatoliovych respectively, shareholders of GERMANOS S.A.'s subsidiary with the corporate name GERMANOS TELECOM UKRAINE, GERMANOS S.A. attained the ownership of the above shareholders' shares, namely two thousand two hundred and fifty four shares (2,254) from each and a total of four thousand five hundred and eight (4,508) common nominal shares with a par value of 296 Hryvnias each at a price of 165.733460514 USD per share and a total value of 747,126,44 USD. Following the above transfer of shares, GERMANOS S.A. holds 42,815 shares of a total 45,069 shares, which represent 95% of the total paid up share capital.
