The company "GERMANOS SA INDUSTRIAL AND COMMERCIAL COMPANY OF ELECTRONIC AND TELECOMMUNICATION MATERIALS AND TELECOMMUNICATION SERVICE PROVIDER" with the distinctive title "GERMANOS S.A.", further to its notice on 9/1/2006, discloses the following:

1. The merger of "GERMANOS S.A." with its 100% subsidiary "P. GERMANOS SA INDUSTRIAL AND COMMERCIAL COMPANY OF BATTERIES ELECTRIC AND ELECTRONIC DEVICES" and the distinctive title "P. GERMANOS S.A.", was approved with the decision no. Κ2-298/18-1-06 of the Ministry of Development, which was registered in the Societe Anonyme Registrar on 18/1/06 with Reg. No. Κ2-298.

2. With the No. 64/18-1-2006 announcement of the East Attica Prefecture, it was announced that the societe anonyme "P. GERMANOS S.A." with Reg. No. 14434/04/Β/86/105(98) and domicile at Agios Stefanos Attica, was written off the Societe Anonyme Registrar.

3. The balance sheet transformation date of the absorbed company is set at July 31st 2005.

4. The transfer of items from the Absorbed company "P. GERMANOS S.A." to the books of the Absorbing company "GERMANOS S.A." will take place based on the date of 31/12/05.
