Operational reorganization of Hellenic Exchanges

Within the framework of the overall strategy for the reorganization of the Hellenic Exchanges Group of Companies S.A. and its development, as of today, i.e. February 14, 2005 the implementation of the operational reorganization of the Group begins.

The said project is aiming at the rationalization of the organizational structure that will support the strategy of the Group effectively. The purpose of these changes is the configuration of an organizational structure that will guarantee the reliability of the markets' operation, the flexibility in constantly changing conditions, the efficiency in daily operations and the support of innovative approaches in offered services. At the same time, several efforts are being made for integrating all the services of the Group.

Following the successful example of the largest Exchanges in Europe and the USA, the Hellenic Exchanges Group proceeds with the organization and its operation as an integrated organization, regardless of the legal entities of the subsidiary companies. In addition, the Group is trying to utilize in the best possible way the synergies that result from the integration of similar operations.

Furthermore, the main objective of the Group is to meet today?s challenges and to remain competitive, through continuous improvements in the services it provides, decreases in their cost, the development of new products and the offering of higher returns to its shareholders.

The composition of the new flexible organizational chart of the HELEX Group is comprised of the following: a) a single central administration with Mr. Spyros Capralos as Chief Executive Officer, in all the companies of the Group and b) a Management Council comprising the Chief Executive Officer and the three General Directors, namely, Mr. S. Lazaridis, in the Securities Market Division, Mr. N. Konstantopoulos in the Clearing, Settlement & Registration Division and Mr. Gikas Manalis in the Corporate Operations Division.

The aforementioned three General Divisions are responsible for monitoring the operations of the HELEX Group. In each of the categories of operations, a coordinator has been appointed, in which the Heads of the corresponding organizational units of the other companies will report. The coordinator in turn will report to the General Director in which the follow-up of the operations and its relevant activities come under. A total of 11 coordinators have been appointed as it is demonstrated in the following table of activities and coordinators.
