Resolutions of the Ordinary Shareholders Meeting 29th June 2007

The company Con. Cardassilaris & Sons S.A. announces that the annual Ordinary Shareholders Meeting was held on June 29, 2007 at the company's factory, on 2nd km. of the ring road Schimatari - Inoi, in Schimatari, Voiotia, according to the license No Κ2-6124 /24-4-2007 granted by the Ministry of Development, Department of Societes Anonymes.
Shareholders representing 5 common registered shares and respective voting rights were present, equal to 100% of the Share Capital and voting rights of the company and deliberated on the following matters:
1. Approval of the company's Financial Statements and the relevant consolidated Financial statements for the year ended 31/12/2006, as well as of the relevant reports of the Board of Directors and the Auditors with a majority 100% of present voting rights, i.e. 8.158.685 votes.
2. The Board of Directors and the Auditors were discharged from any liability for the financial year 1/1/2006-31/12/2006 with a majority 100% of present voting rights, i.e. 8.158.685 votes.
3. The distribution of dividend for the year 2006 amounting to 0.02 euro per share, an amount free of all taxes. Eligible to receive dividend payment are shareholders of the company in the closing session of the Athens Stock Exchange on Monday, July 2nd, 2007. The ex-dividend date will be Tuesday, July 3, 2007. The dividend payment date to the beneficiaries will be Wednesday, July 11, 2007 and the dividend will be paid through 31/12/2012. The payout will be made through the EFG Eurobank Ergasias Branch Network through 31/12/2012. Majority 100% of present voting rights, i.e. 8.158.685 votes.
4. Election of an Ordinary and a deputy Auditor for the year 2007 which will audit the company's financial statements (consolidated or not), with a majority 100% of the present voting rights, i.e. 8.158.685 votes. The auditors elected were from the auditing firm Grant Thornton SA
5. Pre-approved the fees from the profit of 2007 for the members of the BoD and authorized the BoD to determine the fees of each member separately, with a majority 100% of present voting rights, i.e. 8.158.685 votes.
