The company PANTECHNIKI S.A. announces that on 6/12/2006, the decision Κ2-15857/24-11-2006 by the Ministry of Development was recorded on the Register of Societes Anonymes, according to which the merger of the societes anonymes PANTECHNIKI S.A., S.A.R No. 13555/06/Β/86/08 and RΟΤΟΝDA Technical, Building, Commercial, Hotel and Tourist Societe Anonyme, S.A.R. No. 6458/01ΑΤ/Β/86/511(00) is approved, through the absorption of the latter company by the former, according to the provisions of article 78 of C.L. 2190/1920 and of articles 1-5 of Law 2166/93. Additionally, according to the decisions of the Board of Directors of the aforementioned companies dated 6/9/2006, the balance sheet of 28/2/2006 is set as the balance sheet of the transformation of the absorbed company. Given that PANTECHNIKI S.A. holds 100% of the share capital of RΟΤΟΝDA S.A., no increase on the capital share of the company PANTECHNIKI S.A. is recorded and therefore, there is no shares exchange ratio between the shareholders. On 6/12/2006 the registration of transfer of the economic data of RΟΤΟΝDA S.A. in the books of PANTECHNIKI S.A. took place.
