The Board of Directors of Elmec Sport SA announces that today June 22nd has received the following letters from the company "Homeric Department Stores Holdings SA" (from now on Homeric Holdings SA) and Mrs L. Fais and Mr. S. Fais:
After all the required legal approvals from the Greek authorities are granted, Mrs. L. Fais and Mr. S. Fais sold today, June 22nd, all of the shares and voting rights of Elmec Sport they owned. Specifically, Mrs. L. Fais sold 13.473.830 shares, representing 24,32% of the share capital, and Mr. S. Fais sold 15.239.790 shares, representing 27,51% of the share capital, for the price of Euro3 per share. At the present time Mrs. L. Fais and Mr. S. Fais do not directly own neither any shares nor any voting rights of Elmec Sport S.A.
Homeric Holdings SA, a company controlled by Laskarides Group of Companies, acquired 28.713.620 shares and voting rights, representing 51,83%, of Elmec Sport's total share capital and voting rights and is now the main shareholder of Elmec Sport S.A.
Moreover, Mrs. L. Fais and Mr. S. Fais, as they have already announced their intentions on May 9th, reinvested to Elmec Sport SA, thus, Homeric Holdings SA will be controlled by 76% from Laskarides Group of Companies and by 24% from the Fais family members.
Homeric Holdings SA, having acquired the majority of the shares of Elmec Sport SA, will proceed, with no delay, to a public offering for the acquisition of the total share capital of Elmec Sport SA, in compliance with the relevant legislation, and is willing to pay the minimum price set by the legislation.
