According to the article 281 of the Regulation of the Athens Stock Exchange and article 2 par. 2, subparagraph e of the Decision 3/347/12.07.2005 of the Hellenic Capital Market Committee, we announce the changes in the composition of the Board of Directors of the Company.
The Board of Directors during its session of November 27, 2007 decided the following:
Accepted the resignation of Mr. Eric Meuriot from the position of Vice Chairman and as member of the Board of Directors. Pursuant to articles 11 & 18 of the Company's Articles of Association and in compliance with the statutory required number of nine members of the Board, Mr Peter James Hoddinott, Lafarge Group Regional President Western Europe, is elected to replace Mr Eric Meuriot for the rest of the term of office of the resigned member, i.e. until the Ordinary Shareholders Assembly of the year 2009. The ratification of this election will be held during the first forthcoming Shareholders Assembly (Ordinary or Extraordinary)
Further, according to law 3016/2002 as amended by law 3091/2002, Mr Peter James Hoddinott was appointed non executive member of the Board of Directors, since he fulfils the requirements of articles 3 & 4 of law 3016/2002 as amended and currently in force.
According to the clause 13 of the Company's Articles of Association and following the resignation of Mr. Eric Meuriot from the position of Vice-Chairman, after a relevant suggestion, Mr. Peter James Hoddinott was elected as Vice-Chairman of the Board.
