DIAGNOSTIC & THERAPEUTIC CENTER OF ATHENS HYGEIA
LISTING OF NEW SHARES
The BoD of the Company announces that from December 17, 2007 the 61,430,910 new common registered shares of the Company will commence trading on the Athens Stock Exchange (hereafter «ATHEX") that were issued from the Share Capital Increase of the Company through contribution in kind and specifically contribution of "ΜIΤΕRΑ S.A." shares according to the A' Repeat Ordinary General Meeting of July 7, 2007.
It is hereby stated that the new shares from the Share Capital Increase of the Company through contribution in kind will be credited, according to the approved exchange ratio from the «HELLENIC EXCHANGES S.A. (HELEX), in the securities accounts of shareholders in the Dematerialized Securities System on the date of commencement of trading on December 17, 2007.
Recall that the Shareholders of "ΜIΤΕRΑ S.A." received 2.3 new common registered shares of the Company of nominal value of 0.41 Euros for each (1) common registered share of "ΜIΤΕRΑ S.A." that contributed to the Company. Any fractional rights that arised did not have the right of fractional shares but they will be auctioned from the BoD of the Company according to the current legislation.
Following the Share Capital Increase of the Company through contribution in kind of "ΜIΤΕRΑ S.A." shares that was approved form the Ministry of Development with number of protocol Κ2-17798/12.12.2007 decision in conjunction with the number of protocol Κ2-17521/10.12.2007 decision, the share capital of the company reached 51,508,673.10 Euros and is divided with 125,630,910 common register shares of nominal value of 0.41 Euros each.
The BoD of the ATHEX approved during its meeting on December 13, 2007 the debut for trading in the ATHEX of the 61,430,910 new shares.
