The Boards of Directors of the two companies decided to commence the merger of their activities in the area of Solution & Business Applications through the following corporate transformations and restructuring:
- The spin-off of the Solution & Business Applications (SBA) business sector of Info-Quest S.A. and its contribution to Info-Quest s 94,5% owned subsidiary UNISYSTEMS S.A.
- The merger by absorption of Decision System Integration S.A. by UNISYSTEMS S.A.
The above decision modifies the initially taken decision of Info-Quest S.A. which was announced on Sept. 19, 2007.
The BoD of the three companies set Sept. 30, 2007 as the balance sheet transformation date. The above corporate transformations will be conducted according to the provisions of laws 2166/1993 and 2190/1920.
The completion of the above corporate transformations is subject to the resolutions of the appropriate bodies of the three companies and the approvals of all relevant authorities, as specified by law.
