The Company ELLINIKI TECHNODOMIKI TECHNICAL, INVESTMENT, INDUSTRIAL COMPANY S.A. (hereinafter The Company), the shares whereof are listed and traded in the securities market of the Athens Exchange, announces that on November 14th, the individual Board of Directors meetings of The Company and the co-signatory company, 100% subsidiary of the latter ASTIKES ANAPTYXEIS S.A., approved the draft cessation agreement by The Company for the contribution to and undertaking by ASTIKES ANAPTYXEIS S.A. of the participation in infrastructure projects sector of The Company. Briefly, the said draft includes the increase of the share capital of ASTIKES ANAPTYXEIS S.A. as a result of the undertaking of the contributed sector. Today the share capital of ASTIKES ANAPTYXEIS S.A. amounts to 273,000.00 euros (divided into 780,000 common registered voting shares of 0.35 euro per share) and the share capital increase amounts ? 95,382,000.00 analyzed as the sum on the one hand of 95,381,585.67 euros that is the book value of the Equity of the Contributed Sector, as this is derived by the Financial Statements of the contributed sector prepared according to article 3 par. 2 L. 2166/1993 and on the other hand of 414.33 euros as a result of the capitalization of an equal amount by extraordinary reserves account of the Undertaking Company for rounding of the number of shares purposes. For the increase of the share capital of the Undertaking Company of the amount of ? 95,382,000.00, 1,953,000 common registered voting paper shares will be issued of nominal value of 35.00 euros per share or total share capital increase of ? 68,355,000.00. The remaining amount of 27,027,000 euros of the share capital increase will be accounted for by the increase of the nominal value of the existing shares from 0.35 euro to 35.00 euros. All new issued shares will be undertaken by The Company, as being the unique shareholder of ASTIKES ANAPTYXEIS S.A., hence deeming redundant the determination of either the value ratio or the share exchange ratio.
