Consolidation of the companies MICHANIKI S.A and MICHANIKI REAL ESTATE S.A
The board of Directors of MICHANIKI S.A notifies the following:
1.It has already been completed the consolidation process of MICHANIKI S.A and MICHANIKI REAL ESTATE S.A under the signature of the relative notarial contract and the publication of the approval decision of Ministry of Development.
2. The consolidation of the two legal persons has been realized with the absorption by MICHANIKI S.A of the subsidiary company at 100% of the company of the Group MICHANIKI REAL ESTATE S.A (absorbed company), at the provisions of article 78, in combination with articles 69-78 of the law 2190/1920, as they are in effect.
3. Due to the fact that the absorbed company (MICHANIKI REASL ESTATE S.A) was subsidiary of MICHANIKI S.A at the significance of article 42, §5 of the law 2190/1920 at percentage 100% , with the consolidation process did not befall increase of participial capital of MICHANIKI S.A, neither with the publication of new shares nor with the increase of nominal value existing, regarding that the relative right amortized because of confusion.
