Announcement

ALAPIS S.A. announces, that pursuant to its business plan and using the funds raised from the recently completed share capital increase via rights issue, proceeded to the acquisition of a 97.27% stake in BIODOMUS S.A. over the amount of euro 60 thou. taking over all of its liabilities. BIODOMUS S.A. will increase its share capital shortly, in order to secure capital requirements.
BIODOMUS S.A. was founded in 1985 and activates in the natural and organic cosmetic products. Sales for FY 2006 amounted to euro 3.6 mil while earnings before tax amounted to euro 356 thou.
The company owns production facilities deployed at an area of 7,000 sq meters in the Attica region with production capacity, per 8 hour shift, amounting to 45,000 creamy items (packed in tubes), 16,000 liquid items of any sort (lotion, shampoo, fluid) and 10,000 items in form of powder. BIODOMUS S.A. is ISO 9001: 2000 certified is incorporated in the FDA registry and is in collaboration with ICEA-AIAB in order to certify its organic products.
BIODOMUS S.A. today offers in the market four brand names:
-Ismene plus (olive oil natural products)
-Frutalia (natural products)
-Quatre Saisons (professional products for the face and body)
-Biojeunesse Marine (professional products for the face and body)

The Ismene plus and Frutalia product lines were developed in 2007. The Ismene plus line is going to be available at pharmacies and cosmetic stores while the Frutalia line in super markets and department stores.
It is noted that from now on BIODOMUS S.A. will be the cosmetics production arm of the Group.
Moreover, ALAPIS management, pursuant to its organizational restructuring as well the streamlining of operations, decided the following:
(a). VETERIN BULGARIA will be renamed to ALAPIS BULGARIA and will absorb the current commercial activity of LAMDA DETERGENT OOD. To this end, ALAPIS BULGARIA will also acquire the real estate of LAMDA DETERGENT OOD in Sofia. The mechanical equipment of LAMDA DETERGENT OOD will be transferred to ALAPIS S.A. (parent company)
(b) Veterin International will be renamed to Dall S.A., which will absorb the production activity of ALAPIS SA in the detergents sector. To this end, Dall S.A will lease the production facilities from Alapis SA (parent company)
(c). A Cypriot company is established under the name Αlapis Pharma ltd in order to encompass all current activities in Cyprus by Lamda Detergent, Lamda Cosmetic, Ome Expomed.
It is noted that Alapis SA participates at 100% in all of the aforementioned companies, hence there is no change in the group's total activity since the companies are part of the group and therefore are already included in the consolidation of the parent company.
Upon completion of the internal restructuring, Alapis group will be active in the drugs industry, in the medical technology and diagnostics equipment industry, in the cosmetics, detergent and veterinary and organic products industries. Abroad, Alapis group, through its subsidiaries in Serbia, Romania, Bulgaria, Croatia, Hungary, Ukraine, Slovenia, Albania and Cyprus will focus in the health sector, which is characterized by strong growth potential.
The broader health sector will represent over 60% of the consolidated turnover. Consolidated EBITDA is expected to grow between 2 and 5 mil. euros due to the economies of scale from the aforementioned Group restructuring.
