Euromedica S.A. would like to hereby inform its shareholders and investors that it has proceeded in the purchase of the following holdings in companies that operate Diagnostic Centres in Greece:
a) Pursuant to a relative agreement, Euromedica S.A. acquired a holding of 40% of "PRIVATE MULTI-MEDICAL FACILITY IATRIKI SOCIETE ANONYME" (distinct title "IATRIKI DIAGNOSIS LESVOU I.A.A."), which operates a diagnostic laboratory (with a scan) in Mytilini of the Prefecture of Lesvos. The said holding was realised with the purchase of shares, the cost of which amounted to 300,000.00 Euros, and with the company's participation in a share capital increase, the cost of which amounted to 171,000.00 Euros, which was decided by the company's General Meeting of the shareholders that convened on 5 November 2007.
b) Pursuant to a relative memorandum of agreement, Euromedica S.A. shall purchase 49% of the shares of the societe anonyme that shall arise from the conversion of the limited liability company "MODERN SCAN-DIAGNOSTIC AND ULTRASOUND-TOMOGRAPHY LABORATORY LTD", which operates a diagnostic laboratory (with a scan) in Kastoria, the cost of which has been set at a consideration of 147,000.00 Euros.
c) PRIVATE DIAGNOSTIC LABORATORY PILIS AXΙΟU I.A.E., a company in which Euromedica S.A. has a holding, has purchased 49% of the shares of "MULTI-DIAGNOSTIC CENTRE PIERIAS I.A.E.", which operates a diagnostic laboratory (with a scan) in Katerini, the cost of which amounted to 173,000.00 Euros.
The remaining shares of the aforementioned companies are held by physicians. With the aforementioned buyouts EUROMEDICA has increased its pan-Hellenic network of primary health care facilities to 37 centres. Of these 37 centres, EUROMEDICA operates 16 in the Attiki basin (two of which will begin operating in the near future), 5 in Thessaloniki, plus the EUROGENETIKI laboratory, 2 in Crete, 3 in Volos and 1 in Larisa, Ptolemaida, Kozani, Serres, Alexandroupoli, Trikala, Corinth, Mytilini, Katerini and Kastoria.
