Announcement pursuant to article 27 par. 3 of L. 3556/07
Pursuant to article 27 par. 3 of L. 3556/07, S&B Industrial S.A. (S&B) announces that until September 30th, 2007, the major shareholders of S&B in order to fulfill their statutory obligations as set out in article 27 par. 2 of the said law, informed S&B in writing of their participation percentage held in S&Bs capital stock and the number of voting rights possessed, as follows:
1. The shareholder Mrs Aikaterini (Kitty) P. Kyriacopoulos daughter of George, Honorary Chairman of the Company, possesses 3.362.452 common shares i.e. percentage 10,95% on the total of shares and 15.404.740 voting rights i.e (directly: 3.362.452, indirectly: 12.042.288), i.e. percentage 50,16% on the total of voting rights of S&B. Pursuant to the Private Agreements dated 7/8/03 and 21/6/04 Mrs Aikaterini (Kitty) P. Kyriakopoulos has transferred to Mr. Ulusses Kyriakopoulos and Mrs Flora Maria Kyriakopoulos the naked ownership of 12.042.288 common shares of S&B, whereas she kept for herself the usufructuary right and the corresponding voting rights as well.
2. Lansdowne Partners Limited Partnership, possesses 0 shares, i.e. percentage 0% on the total of shares and 3.330.563 voting rights (directly: 0, indirectly 3.330.563), i.e. percentage 10,618% on the total of voting rights of S&B. Morgan Stanley & Co International plc holds the 3.330.563 shares as custodian on behalf of the following funds of which the investment manager is Lansdowne Partners Limited Partnership: Lansdowne European Equity Fund Limited, Lansdowne European Long Only Fund Limited, Lansdowne European Long Only Fund LP, Lansdowne European Strategic Equity Fund LP και Managed Account R. Based on the announcement of S&B on August 29th, 2007, Lansdowne European Equity Fund Limited is the only fund that holds through Morgan Stanley & Co International plc shares of S&B that represent more than 5% of the total voting rights.
