The company NEOCHIMIKI L.V. LAVRENTIADIS S.A. announces that within the frame of restructuring the existing structure of the Group, fully accomplishing the scope of its business and creating economies of scales through the reduce of administrative expenses, will merge by absorption its 100% subsidiaries : LAMDA LAMDA S.A., PETROSOL S.A., NEOCHIMIKI INTERNATIONAL S.A., MONOCHEM S.A.
According to the decisions as of 27/12/07 of their Boards of Directors, the five companies announce their intention for merger with absorption of the four subsidiaries by NEOCHIMIKI L.V. LAVRENTIADIS S.A. The merger will be performed in accordance with the stipulations of the articles of Cod. Law 2190/1920 and Law 2166/1993. The 31/12/2007 is set as merger balance sheet date of the absorbed companies.
