ELGEKA S.A. announces to the public that both the Board of Directors of its 99,99%-owned subsidiary "LOGISTICS SERVICE HELLAS S.A. - Third Party Logistics" - L.S.H. S.A. and "DIAKINISIS S.A. - Warehousing - Distribution - Promotional Packaging" - recently, wholly owned by LSH S.A. - decided to merge the respective companies through absorption of the former by the latter, according to the provisions of the Companies' Act 2190/1920 (article 66 to 77) and in relation to Law 2166/1993 (article 1 to 5). The Transformation Balance Sheet date of L.S.H. S.A. has been designated as the 30th of June 2007.
The Merger Agreement which was approved by the Board of Directors of the two companies and has already been forwarded to the Municipality Authorities will be available to the public on Tuesday the 28th of August through Athens Stock Exchange website, www.ase.gr and ELGEKA S.A. ΄s website www.elgeka.gr. The merger is subject to General Shareholders Meeting approval and to all necessary regulatory authorities and is expected to be concluded by the end of October 2008.
