MICHANIKI S.A announces that on 31.12.2007 has been registered in the Registration of Anonymous Companies of Ministry of Development, with registry number K2-18652/31.12.2007 decision of Undersecretary of Development, with which was approved the consolidation of companies MICHANIKI S.A and MICHANIKI REAL ESTATE S.A with absorption of the second from first according to the article 78 of law 2190/1920, as regards Anonymous Companies. The Balance sheet date of the Transformation of the absorbed company MICHANIKI REAL ESTATE S.A has been specified, according to the resolution of its Board of Directors, the 31.10.2007.
Regarding that MICHANIKI S.A possessed 100% of the participial capital of MICHANIKI REAL ESTATE S.A the consolidation has been approved according to the decisions of the Board of Directors of MICHANIKI S.A and MICHANIKI REAL ESTATE S.A on 31.12.2007.
It is not being caused increase of participial capital of the Company MICHANIKI S.A at the completion of consolidation and as a result it does not exist any relation of exchange between the shareholders. According to the Transformation date of 31.10.2007, they will be implemented the registrations of transfer of the economic data of MICHANIKI REAL ESTATE S.A in MICHANIKI's S.A books.
