Following the announcement dated 24/06/08, GEK S.A. informs the Investors that GEK's Board of Directors on September 18, 2008 unanimously approved - and in relation with the Approval Decision of the Board of Directors of TERNA S.A taken the same day- the Break-Up Agreement of the Company TERNA SA in two separate sectors.
The Break-Up of the Company will be completed by merging the first sector, that includes all activities and assets, apart from Construction Activities and all related assets, with GEK S.A.
The Board of Directors of LITHOS S.A., which merges with the other sector, that includes Construction Activities and all related Assets, approved as well on the same day the Break-Up Agreement of TERNA, which has been signed by the companies' authorized representatives and submitted to the Relevant authorities for approval. Publicity Formalities will follow, according to Greek Legislation, the approval and the registration in the Registry of Societes Anonymes.
