ANNOUNCEMENT FOR THE MERGER BY ABSORPTION
OF P.L. LOGISTICS CENTER-DIANOMES-APOTHIKEFSIS-LOGISTICS S.A.
BY "ALFA-BETA" VASSILOPOULOS S.A.
"ALFA-BETA" VASSILOPOULOS S.A. informs the investors that on 09/12/2008 the procedure for the merger by absorption of its 100% subsidiary company P.L. LOGISTICS CENTER-DIANOMES-APOTHIKEFSIS-LOGISTICS S. A. was concluded.
Specifically:
1. The Board of Directors of P.L. LOGISTICS CENTER-DIANOMES-APOTHIKEFSIS-LOGISTICS S. A. on 17/11/2008 approved the Agreement for merger by absorption by "ALFA-BETA" VASSILOPOULOS S.A.
2. The Board of Directors of "ALFA-BETA" VASSILOPOULOS S.A. on 20/11/2008 approved the Agreement for merger by absorption of its 100% subsidiary company P.L. LOGISTICS CENTER-DIANOMES-APOTHIKEFSIS-LOGISTICS S. A
3. The Agreement was singed on 21/11/2008 and filed to the Ministry of Development under protocol number Κ2-14610/09.12.08 as well as to the competent Municipality under protocol number 9705/09.12.08.
4. The Merger was approved by decision no. Κ2-14610/09.12.08 of the Ministry of Development, which was also filed in the register of Societes Anonymes on 09.12.08.
5. By decision no. 9899/09.12.08 of the Municipality of East Attica P.L. LOGISTICS CENTER-DIANOMES-APOTHIKEFSIS-LOGISTICS S. A. situated at Gerakas Attica and with Register Number 42390/04/Β/99/63(2008) was delisted from the register of Societes Anonymes.
6. The date of the transformation balance sheet of the absorbed company P.L. LOGISTICS CENTER-DIANOMES-APOTHIKEFSIS-LOGISTICS S. A. was March 31st, 2008.
7. The merger was by absorption, according to articles 1-5 of law 2166/93, and articles 68,69 up to and including 78 of codified law 2190/1920 as currently in force.
Specifically:
1. The Board of Directors of P.L. LOGISTICS CENTER-DIANOMES-APOTHIKEFSIS-LOGISTICS S. A. on 17/11/2008 approved the Agreement for merger by absorption by "ALFA-BETA" VASSILOPOULOS S.A.
2. The Board of Directors of "ALFA-BETA" VASSILOPOULOS S.A. on 20/11/2008 approved the Agreement for merger by absorption of its 100% subsidiary company P.L. LOGISTICS CENTER-DIANOMES-APOTHIKEFSIS-LOGISTICS S. A
