Approval of the merger with a subsidiary NEPTUNUS and postponement of merger with subsidiaries.
1)The company DIAS AQUACULTURE S.A., announces that according to the decision of the Ministry of Development (protocol number: K2-14831 / 11-12-2008) and the registration in the state's Societe Anonyme records (protocol number: K2-14831 / 12-12-2008), the merger between DIAS AQUACULTURE S.A. and NEPTUNUS S.A. was approved. The merger completed through the absorption of NEPTUNUS S.A. from DIAS AQUACULTURE S.A according to the decisions of the Board of Directors as of 06/11/2008, the provisions of articles 69-78 of PL 2190/20 concerning Societe Anonymes, the provisions of the articles 1-5 of Law 2166/93 and the act No 4510/21-11-2008 of the notary Aikaterini J. Tolia. Given that DIAS AQUACULTURE S.A. held 100% of the share capital of NEPTUNUS S.A. there will be no share capital increase of DIAS AQUACULTURE S.A during the completion of merger.
2)Additionally, due to significant delays in preliminary stages related to licenses issues and in accordance with the BoD decision as of 12-12-2008 of companies DIAS AQUACULTURE SA, FRUTTI DI MARE AE , HIPPOCAMPUS SA, PELAGOS S.A., it was decided the postponement of the merger of these companies through absorption. The Board of Directors of the aforementioned companies will appoint a new balance sheet transformation date.
