Completion of merger by absorption
"S&B Industrial Minerals S.A." (the Company), announces that the Ministry of Development has issued the decision K2 - 14795/11-12-2008 by which the merger by absorption of the Company and its fully owned subsidiary "Insurance Brokerage Parnassos S.A." has been approved. The absorbed entity, namely "Insurance Brokerage Parnassos S.A.", has been deregistered from the Public Register of S.A.'s of Athens Prefecture - East Sector, by virtue of announcement ΕΜ - 28171/30-12-2008 of the Division of "Societes Anonymes and Commerce" of the East Sector of Athens Prefecture.
The aforesaid merger was concluded in accordance with the guidelines set forth in article 78 of Law 2190/1920 and articles 1-5 of Law 2166/1993.
Given that the merger by absorption concerns a fully owned subsidiary of the Company, there is no resulting share capital increase or share exchange and as such, the Company's share capital remains unchanged.
The aforesaid merger was concluded in accordance with the guidelines set forth in article 78 of Law 2190/1920 and articles 1-5 of Law 2166/1993.
