The company "GEK TERNA S.A." (ex GEK SA) announces that following the approval decision under registration No. Κ2-15458/23-12-08 by the Ministry of Development for the merger through acquisition by GEK TERNA SA of the activities and assets (except for constructions) of TERNA SA and the subsequent deletion of TERNA S.A. from the Societe Anonyme Registry, each shareholder of TERNA SA (apart from the Absorber GEK SA) exchanged one (1) share with 0.950000021 new common registered shares with voting rights of GEK TERNA S.A., and with a new nominal value of 0.57 euro.
Following the above, the below mentioned, according to article 13 of L.3340, obligated Persons, acquired the below described common registered shares of GEK TERNA SA. based on the above exchange ratio: Mr. Nikolaos Kambas 6,650 shares, Mr. Georgios Peristeris 96,906 shares, Ms. Florentia Kondogianni - affiliated to Mr. Peristeris - 13,779 μετοχές, Mr. Panagiotis Pothos 48,450 shares, Mr. Michael Gourzis 9,500 shares, Ms. Tasia Gourzi - affiliated to Mr. Gourzis - 5,700 shares, , the company with the name HERON HOLDINGS S.A. - a legal entity affiliated to Mr. Panagiotis Pothos -? 775,951 shares and the company under the name GEKE AEBE - a legal entity affiliated to Maria Kamba - 616,835 shares.
The above new shares, that emerged from the merger, have be credited to the accounts of the beneficiary Obligated Persons and are traded as of January 2, 2009.
The present announcement is made according to article 21 of L.3556/2007 in combination with article 11 of decision EC 1/434/3.7.2007.
