In reply to the letter of the Hellenic Capital Market Commission with ref. no. 2472/17.06.2009 concerning the publication made in the newspaper "SYMVOULOS" on 17.06.2009, MYTILINEOS HOLDINGS S.A. clarifies that the Italian ENEL energy group, according to official announcements made by the Group to the wider investing public, will be taking over full control of ENDESA S.A. within the next months by way of binding agreements, through the acquisition of 25% from ACCIONA. A number of related publications in the Greek and international Press reveal that the aforementioned energy group, in view of the acquisition of the full control of ENDESA S.A., is examining various options in connection with the strategic development and exploitation of the investments of ENDESA S.A. or even a potential disinvestment.
In the recent Annual General Meeting of the Shareholders of MYTILINEOS HOLDINGS S.A., Group Chairman Mr Evangelos Mytilineos, responding to a relevant question from the shareholders, mentioned that it is possible for the Group to acquire even full control of the assets of ENDESA HELLAS, if the situation and the conditions of the existing strategic alliance should change. In the context of this alliance, he added, we are in contact with ENDESA S.A. and we are closely following developments. The agreements between the MYTILINEOS Group and ENDESA S.A. provide that the MYTILINEOS Group may exercise a right of first option in the event that the other party decides to withdraw.
The Management of the Group will consider all options with a view to ensuring the smooth implementation of its investment plan in the energy market, and will duly inform the supervisory authorities and the investing public, should any new case for doing so arise.
