Spin-off procedure for the Retail Sales Division
MOTODYNAMICS S.A. announces that its Board of Directors, following its decision on 29.12.2009 regarding the initiation of the spin-off procedure of the companys retail sales division and its contribution to the companys affiliate (by 100%) company under the trade name MOTODIKTYO S.A., further approved the Draft Agreement of the spin-off terms and the Transformation Balance Sheet of 31.12.2009 on its meeting of 12.02.2010. Furthermore, it decided the invitation of the extraordinary General Meeting of Shareholders, which shall finally approve the terms of the spin-off agreement and the Transformation Balance sheet.
The spin-off procedure shall be carried out according to the provisions of arts. 1-5 of Greek Law 2166/93. At the same date (12.02.2010) the Board of Directors of MOTODIKTYO S.A. (100% affiliate company) also approved the Draft Agreement of the spin-off terms.
