Notification of substantial holdings L. 3556/2007

OPAP S.A. (the “Company”, “Issuer”), pursuant to the provisions of L.3556/2007 and following disclosure received by Mr. Jiří Šmejc on 15.07.2019 as a result of disposal of voting rights in an entity indirectly controlling voting rights in the Company, announces the followings:

Mr. Jiří Šmejc controls Emma Capital Limited, which holds 100% of voting rights in Emma Alpha Holding Ltd. Emma Alpha Holding Ltd. holds 100% of voting rights in Emma Gamma Limited, which held 25% of voting rights in, and exercised joint control with KKCG AG of, SAZKA Group a.s. SAZKA Group a.s. holds 66.7% of voting rights in in Emma Delta Management Ltd., which holds 100% of voting rights in Emma Delta Variable Capital Investment Company Ltd. Emma Delta Variable Capital Investment Company Ltd. is the sole shareholder of Emma Delta Hellenic Holdings Limited, which holds 33% of voting rights in the Issuer.

On Thursday 11 July 2019, the transaction for the transfer of 25% of voting rights in SAZKA Group a.s. by Emma Gamma Limited to KKCG AG was completed. Following this, Mr. Jiří Šmejc has no voting right (0%) in, and no joint control of, SAZKA Group a.s. Consequently, Mr. Jiří Šmejc holds no voting right (0%) in Emma Delta Management Ltd., Emma Delta Variable Capital Investment Company Ltd., Emma Delta Hellenic Holdings Ltd and ultimately in the Issuer.
