The Company GEK TERNA S.A. informs the Investors that in the course of implementation of the decision of the A' repeat Shareholders' General Assembly dated 7/7/2014, 400,000 treasury shares in total, corresponding to 0.3868% of the paid up share capital, were transferred to seven (7) Company Executives, who exercised the stock options granted, at the total price of 228,000.00 €.

The exercise of the stock options was effected through an OTC transfer on September 27, 2018.

Following the above transaction, the treasury shares held directly and indirectly by the Company decreased to less than 5%.

Number of treasury shares held directly, before the transaction: 3,933,898, namely a percentage of  3.8037 % of the share capital

Number of treasury shares held by the affiliate TERNA S.A., before the transaction:

688,205, namely a percentage of  0.6654% of the share capital

Number of treasury shares held by the affiliate ILIOHORA S.A., before the transaction: 616,835, namely a percentage of  0.5964% of the share capital

Total number of treasury shares held directly and indirectly before the transaction: 5,238,938, namely a percentage of 5.0655%.

Number of treasury shares, held directly and indirectly after the transaction on September 27, 2018: 3,533,898, thus a percentage of 3.4169%

The number of treasury shares held by affiliates remains the same.

Total number of treasury shares held directly and indirectly after the transaction on September 27, 2018: 4,838,938, namely a percentage of 4.6788%.

It is noted that the voting rights corresponding to the treasury shares are suspended, as provided by par. 8 of the art. 16 of the C.L.2190/1920.
