ANNOUNCEMENT

The company under the trade name "ELVALHALCOR HELLENIC COPPER AND ALUMINIUM INDUSTRY S.A." (hereinafter referred to as "ELVALHALCOR S.A.”) announces to investors, according to  article 17 par. 1 of Regulation (ΕU) 596/2014 of the European Parliament and the Council of 16th April 2014, and article 2, par. 4 of Decision No 3/347/12.7.2005 of the Board of Directors of the Hellenic Capital Market Commission, that:

Following ELVALHALCOR S.A.Άs announcement of 20.06.2019, regarding the signing of a Share Purchase Agreement (SPA) between “ELLAKTOR S.A.Άs” subsidiary, “Hellenic Energy & Development (HE&D) S.A.”,  “ELVALHALCOR S.A.” and “Elpedison BV”, for the transfer to the latter of the shares in “Elpedison S.A.” which the two former companies hold, the sale of 147,749 shares of “Elpedison S.A.” (1.48% of Share Capital) by their owner ELVALHALCOR S.A. to “Elpedison BV” was completed today, in consideration of a total amount of Euro one million two hundred twenty four thousand six hundred and sixty four (¤1,224,664.00).

The sale/transfer of the shares of ELVALHALCOR′s ownership took place (Closing) after the fulfillment of the Conditions Precedent set out by the aforementioned Share Purchase Agreement, which were related to third party consents.
