“TERNA ENERGY S.A.”, pursuant to Law 3556/2007 and Regulation (EU) 596/2014, informs the investors that, at its Meeting of the Board of Directors dated 25.09.2019, it has decided (a) the provision of a guarantee to “TERNA ENERGY FINANCE S.A.”, a member of the TERNA ENERGY GROUP, and (b) the establishment of a pledge, pursuant to the provisions of Article 73 par. 4 of Law 4548/2018 and, pursuant to the latter, of Legislative Decree 17.07.1923 on sociétés anonymes, on claims arising from a bank account of the company, in the context of the issuance of a common bond loan secured in rem, governed by the provisions of Law 4548/2018 and those provisions of Law 3156/2003 which remain in force after the entry into force of Law 4548/2018, for a minimum amount of one hundred and twenty million euros (€ 120,000,000) and up to one hundred and fifty million euros (€ 150,000,000), issued by “TERNA ENERGY FINANCE S.A.”, the sale of bonds through a public offering and the admission to trading in the Fixed Income Securities Trading Segment of the Athens Exchange Regulated Market.
