RELEASE OF REGULATED INFORMATION

Athens, August 2^nd 2019

The societe anonyme with the name “MYTILINEOS SA”, under the distinctive title “MYTILINEOS”, hereby notifies in accordance with the applicable legislation, based on the relevant notification received on 02.08.2019, that on 31.07.2019 an indirect transfer of the voting rights related to 19,201,219 shares issued by “MYTILINEOS SA” from Ioannis Mytilineos to Evangelos Mytilineos took place, as described below.  

As per the date mentioned above, the company with the name NIOVAL LTD, an entity controlled by Ioannis Mytilineos, transferred 100% of the share capital of FREZIA LTD to ROCALDO LTD, an entity controlled by Evangelos Mytilineos. At the time of the transfer, FREZIA LTD held 19,201,219 common registered shares with voting rights issued by MYTILINEOS and post transaction are under the control of ROCALDO LTD. Through this transaction, the voting rights related to 19,201,219 common registered shares issued by MYTILINEOS were indirectly transferred from Ioannis Mytilineos to Evangelos Mytilineos.

Pursuant to the above transaction that took place on July 31^st, 2019, the change in respect of the voting rights that are indirectly held by Ioannis Mytilineos and Evangelos Mytilineos have been affected as follows:

Pre- transaction, Ioannis Mytilineos indirectly held 19,201,219 common registered shares with voting rights issued by MYTILINEOS by virtue of his control over NIOVAL LTD and FREZIA LTD (i.e. percentage of 13.438% of its total voting rights) and had no direct ownership or voting rights. On the other hand, Evangelos Mytilineos indirectly held (through ROCALDO LTD and KILTEO LTD) 18,718,330 common registered shares with voting rights issued by MYTILINEOS (i.e. percentage of 13.100% of its total voting rights) and had no direct ownership of shares or voting rights.

Post transaction, Ioannis Mytilineos no longer holds directly or indirectly, shares or voting rights of MYTILINEOS. Evangelos Mytilineos indirectly holds (through ROCALDO LTD, KILTEO LTD and FREZIA LTD) 37,919,549 common registered shares with voting rights issued by MYTILINEOS (i.e. percentage of 26.537% of its total voting rights) and has no direct ownership of shares or voting rights.

For the purposes of the above transaction, KILTEO LTD and FREZIA LTD each pledged 18,718,330 and 1,788,424 common registered shares with voting rights issued by MYTILINEOS, respectively. The pledgees, KILTEO LTD and FREZIA LTD shall maintain and exercise the voting rights over the total of the pledged shares. The notification of the above pledges is made pursuant to the provisions of article 19 par. 1 in conjunction with article 19 par. 7(a) of Regulation 596/2014 due to the fact that on one hand the above pledgees are persons closely associated as per article 3 par. 1 case (26) of the aforementioned Regulation with Evangelos Mytilineos who controls them. For KILTEO LTD, as per article 3 par. 1 case (26) of the aforementioned Regulation, is a person associated with the director of MYTILINEOS, Fotios Spyrakos.
