The Board of Directors of the Société Anonyme with trade name “EUROPEAN RELIANCE GENERAL INSURANCE CO.S.A.” (hereinafter the Company) and GEMI No. 322801000 announces to the shareholders of the Company, based on par. 2 of Art. 101 of L. 4548/2018, that in the Meeting of 26/01/2021 the BoD,

after taking into consideration the report of 25/01/2021 of Ms. Despoina Marinou, Certified Public Accountant (SOEL No. 17681) of the auditing company “Pricewaterhousecoopers Co.S.A.”, that resulted that the following transaction: “The contract for the issuance of a corporate guarantee by “European Reliance General Insurance Co. S. A.” to the Bank of Greece S.A. for “Alter Ego Facilities Management S.A.” for the increase of the already existing borrowing limit of Alter Ego S.A., which is applied by Alter Ego for the purposes of the working capital” is fair and reasonable for the Company and its shareholders that are not considered related parties, including the minority shareholders of the Company, according to articles 100 and 101 of L. 4548/18,

decided the provision of a special license with the duration of six (6) months, for the preparation and undersigning of the above transaction of the Company with the company with trade name “Alter Ego Facilities Management S.A.” which is a related party of the Company.

The present announcement is published in accordance with the provision of article 100, par. 3 of L. 4548/2018, as applicable and in force, based on which the shareholders that represent 1/20 of the share capital may request the convention of a General Meeting of Shareholders to decide on the subject for provision of license, within ten (10) days after the publication of the present announcement.
