The Board of Directors of the company GEK TERNA SA, following the election by the Extraordinary General Assembly of the shareholders on December 9, 2019, of Mrs Penelope Lazaridou as new executive member of the Board of Directors and Mr. Athanassios Skordas as new independent non-executive member of the Board of Directors, who fulfills the conditions of independence as provided by article 4 of Law 3016/2002, was constituted into Body at its meeting held today as follows:

1. Georgios Peristeris – Chairman & Chief Executive Officer, executive member

2. Konstantinos Vavaletskos – Vice Chairman, executive member

3. Michael Gourzis – Vice Chairman, executive member

4. Angelos Benopoulos – Vice Chairman, executive member

5. Apostolos Tamvakakis – Vice Chairman, independent non‐executive member  

6. Dimitrios Antonakos– executive member

7. Emmanuel Vrailas – executive member

8. Penelope Lazaridou – executive member

9. Emmanuel Moustakas – executive member

10. Georgios Perdikaris – non-executive member

11. Spyridon Capralos – independent non-executive member

12. Athanasios Skordas – independent non-executive member

13. Gagik Apkarian – independent non-executive member

Furthermore Mr. Apostolos Tamvakakis has been appointed as Lead Independent Director.

The Members of the BoD are Greek citizens, except for Mr. Gagik Apkarian, who is an Australian citizen.

The term of the BoD ends on 30/6/2021 and at the latest on the date by which the Ordinary General Assembly must convene during 2021.

It is noted that the powers of representation delegated by previous decisions of the Board of Directors are not affected by this decision.
