ANNOUNCEMENT AUTOHELLAS SA

 Information in accordance with codified law 3556/2007

Autohellas SA (hereinafter referred to as "the Company") would like to inform the public that in accordance with codified Law 3556/2007, the decision 1/434/3.07.2007 of the Greek Capital Market and codified Law 3340/2005, and according to the disclosures of 16.12.2016 submitted on the same day to the Company, Mr. Theodore Vassilakis, Chairman of the Board of Directors, and Eftychios Vassilakis, President and CEO of the Company, and the company MAIN STREAM S.A., a Luxemburg based EU company controlled by Theodore Vassilakis, that on 13/12/2016, Mr. Theodore Vassilakis, the company's President of the Board of Directors, and Mr. Eftichios Vassilakis, the company's Vice President and Managing Director, have transferred their total number of the company's shares for a total amount of €813.522,00 to MAIN STREAM S.A.

More specifically, Mr. Theodore Vassilakis transferred 51,122 shares held directly in the Company for a total amount of €628.800,60 while Mr. Eftichios Vassilakis transferred 15,018 shares held directly in the Company for a total amount of €184.721,40, namely a sale price per share of EUR 12.30 for both transactions.

Following the aforementioned transactions:

a)    Theodore Vassilakis' direct participation percentage in the company has been reduced to 0% while the percentage of shares and equal voting rights held indirectly by his participation in the company MAIN STREAM S.A. rose from 74,01% before 13/12/2016 (corresponding to 51,122 voting rights equal number of shares held directly by the Company and 8,988,422 voting rights equal number of shares held indirectly through the MAIN STREAM SA to the Company) to 74,13% (corresponding to 9,054,562 voting rights equal number of shares directly held by the company MAIN STREAM SA in the Company).

b)    Eftichios Vassilakis' participation percentage and voting rights have been reduced to 0%.
