The company under the trade name “MYTILINEOS SOCIÉTÉ ANONYME-GROUP OF COMPANIES” and the distinctive title “MYTILINEOS HOLDINGS SA”, in accordance with article 19 of Regulation 596/2014 and Articles 10 (e), 14 and 21 of Law 3556/2007, hereby announces that as per the relevant notification received on 20/12/2017, an OTC transfer was performed on 20/12/2017, by Mr. Ioannis Mytilineos of 19,201,219 shares issued by “MYTILINEOS SOCIÉTÉ ANONYME-GROUP OF COMPANIES” and directly owned by Mr. Ioannis Mytilineos, as described below.
More specifically, the entirety of the above shares, namely 19,201,219 common registered voting shares of “MYTILINEOS SOCIÉTÉ ANONYME-GROUP OF COMPANIES”, were provided by Mr Ioannis Mytilineos, at their nominal value, to the company under the trade name “FREZIA LTD”, a company 100% controlled by Mr Evangelos Mytilineos with registered seat in Cyprus (hereinafter referred to as “FREZIA”).
It is being clarified that that Mr Ioannis Mytilineos owns 100% of the shares and voting rights in the company under the trade name “NIOVAL LTD”, a company with registered seat in Cyprus (hereinafter referred to as “NIOVAL”), which in turn owns 100% of the shares and voting rights in FREZIA and thus, through this chain, Mr Ioannis Mytilineos fully controls both the aforementioned companies.
As a result of the above, no change occurred with respect of the ultimate control in the voting rights on the above shares, which are still controlled by Mr. Ioannis Mytilineos, as:
Before these transactions: he held directly as natural person a total of 19,201,219 common registered voting shares issued by “MYTILINEOS SOCIÉTÉ ANONYME-GROUP OF COMPANIES” and the respective voting rights (i.e. held directly 13.44% of the total share capital and voting rights of the latter).
Following these transactions: he continues to hold, however indirectly now, in the meaning of article 10(e) of Law 3556/2007, the same number of shares and the respective voting rights of “MYTILINEOS SOCIÉTÉ ANONYME-GROUP OF COMPANIES”, through “FRΕZIA LTD” and “NIOVAL LTD”, which are controlled by him (chain of controlled undertakings), in the manner described above, while he does not any longer directly hold any shares or voting rights in “MYTILINEOS SOCIÉTÉ ANONYME-GROUP OF COMPANIES”.
